Terms of Service

The commitments we make to you, in writing.

These Terms of Service (“Terms”) govern your use of fricof.com and any service you purchase from FRICOF LLC (“FRICOF”, “we”, “us”). By placing an order you agree to these Terms. Please read them before you buy.

1. Who we are

FRICOF LLC is a limited liability company registered in the State of Montana, United States, with its registered address at 1001 S Main St Ste 600, Kalispell, MT 59901. We provide digital marketing, website design and maintenance, advertising management, and product sourcing services to businesses.

2. Eligibility

You must be at least 18 years old and able to enter into a binding contract. If you order on behalf of a company, you confirm that you are authorised to bind that company.

3. Services and scope

Each service we sell is described on its page on this website, including what is delivered, the turnaround time, and the price. The description on the service page, together with any written proposal we send you, defines the scope of work. Anything not listed is out of scope and will be quoted separately before we do it. We will never carry out extra billable work without your written approval.

4. Prices and orders

All prices are in USD and are shown on the service pages before checkout.
An order is accepted when we confirm it by email, not when payment is taken.
We may decline any order. If we decline, we refund you in full immediately.
We may change our prices, but a change never affects a service you have already paid for.

5. What we need from you

To deliver on time we need you to supply, within a reasonable time:

Access to the relevant website, hosting, domain, or advertising accounts
Content such as logos, images, text, and product information
Timely feedback and approvals at each agreed stage

If we are waiting on you, delivery dates move accordingly. We will always tell you in writing when we are blocked and what we need.

6. Turnaround times

Delivery timeframes stated on each service page are working estimates measured from the moment we have everything we need from you. If we expect to miss a date, we tell you before it passes and give you a revised date.

7. Ownership of what we make

On full payment, you own all deliverables we create for you: website files, designs, copy, and graphics.
You own your domain, hosting, website, and every advertising account we touch. We never hold these hostage. If you leave, we hand over access within 5 business days of your request.
We keep ownership of our own internal tools, templates, frameworks, and know-how, which we license to you for use within your deliverables.
Unless you ask us not to, we may show the work in our portfolio. Tell us at any time and we will remove it.
You confirm that any material you give us is yours to use and does not infringe anyone else’s rights.

8. Third-party platforms

Some of our services depend on platforms we do not control, including Google, Meta, WordPress, hosting providers, and payment processors. We are not responsible for their outages, policy changes, account suspensions, or pricing changes. We will always tell you promptly if a platform issue is affecting your service and help you resolve it.

9. No guarantee of specific results

We commit to the work described in your plan or proposal, and we deliver it to a professional standard. We do not and cannot guarantee a specific search ranking, level of traffic, number of leads, conversion rate, or amount of revenue, because these depend on factors outside our control such as competition, market conditions, and platform algorithms. Any figures we discuss are illustrations, not promises. Be cautious of any agency that guarantees otherwise.

10. Acceptable use

You agree not to ask us to produce or promote anything illegal, deceptive, defamatory, infringing, or in breach of the advertising policies of the platform involved. We will decline such work and may terminate the engagement.

11. Confidentiality

We keep your business information, credentials, and data confidential and use them only to perform the services. We do not share them with anyone except the subcontractors and platform providers needed to do the work, who are bound by the same obligation.

12. Cancellation and termination

You may cancel a monthly plan at any time. See our Refunds Policy for what is refundable.
We may terminate an engagement if payment is more than 14 days overdue, if you breach these Terms, or if the working relationship becomes unworkable. We will give you 14 days written notice except in cases of serious breach.
On termination for any reason, we hand over all deliverables you have paid for and transfer account access to you.

13. Limitation of liability

To the maximum extent permitted by law, our total liability arising out of or relating to the services is limited to the amount you paid us for the specific service giving rise to the claim in the 3 months before the claim. We are not liable for indirect or consequential losses, including lost profits, lost data, or lost business opportunity. Nothing in these Terms limits liability for fraud, or for anything that cannot lawfully be limited.

14. Indemnity

You agree to indemnify us against claims arising from material you supplied to us, or from your use of the deliverables in a way that breaches the law or a third party’s rights.

15. Governing law

These Terms are governed by the laws of the State of Montana, United States. Any dispute will be handled in the courts of Montana. Before starting formal proceedings, both parties agree to attempt in good faith to resolve the matter directly for at least 30 days.

16. Changes to these Terms

We may update these Terms. The version that applies to your purchase is the one published on the date you ordered. For ongoing monthly plans, we give you 30 days notice by email before any material change takes effect, and you may cancel free of charge if you do not accept it.
